These Terms of Service (“Terms”) govern access to and use of **Sentinel HOS** (also known as **Driver Compliance Watch** or “DCW”) and related websites, software, APIs, dashboards, and communications (collectively, the “Services”) provided by **Fuego Consulting Inc.** (“Fuego,” “we,” “us,” or “our”).

By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by them. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.

## 1. The Services

Sentinel HOS is an Hours-of-Service compliance monitoring platform that evaluates telematics-derived duty status and related data against configurable FMCSA 49 CFR Part 395 rule packs, and may deliver informational alerts (including SMS and voice) to consented drivers and authorized fleet contacts.

### Important disclaimers

- The Services are **compliance tooling**, not legal advice.
- Fuego does **not** act as legal counsel for you or your drivers.
- Unless expressly stated in writing, Sentinel HOS is **not** an FMCSA-certified Electronic Logging Device (ELD).
- You remain solely responsible for driver compliance, ELD obligations, recordkeeping, and regulatory filings.

## 2. Eligibility and accounts

You must be a business customer or authorized user of a business customer. You agree to provide accurate account information and to keep credentials confidential. You are responsible for activity under your accounts.

## 3. Customer responsibilities

You agree to:

- Obtain all rights and consents needed to provide driver data (including mobile numbers) to Fuego and to authorize alerts
- Ensure drivers who receive SMS have consented under applicable law and messaging industry rules (including the verbal consent process described in our A2P registration materials)
- Use the Services only for lawful, non-abusive purposes related to HOS compliance and fleet safety operations
- Not attempt to reverse engineer, disrupt, or overload the Services except as permitted by law
- Comply with Twilio, carrier, and CTIA messaging requirements when SMS is enabled

## 4. SMS and voice alerts

Where enabled, Fuego may send automated informational SMS and/or voice alerts regarding HOS status.

- Message frequency varies based on driving activity and HOS risk.
- Message and data rates may apply.
- Drivers may reply **STOP** to opt out of SMS and **HELP** for help.
- Opt-in is typically obtained verbally; keyword opt-in is not the primary method unless separately enabled.

Misuse of messaging (spam, marketing under this transactional campaign, or messaging individuals who have not consented) is prohibited.

## 5. Acceptable use

You may not use the Services to:

- Send marketing, promotional, or advertising SMS under transactional HOS alert channels
- Violate privacy, employment, transportation, or telecommunications laws
- Upload unlawful, infringing, or harmful content
- Circumvent security, billing, or access controls
- Resell the Services without Fuego’s prior written consent

## 6. Intellectual property

Fuego and its licensors own all rights in the Services, software, documentation, and branding (including “Sentinel HOS” and “Driver Compliance Watch” as used in connection with the Services). You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription as described in your order form or agreement.

You retain ownership of customer data you provide. You grant Fuego a license to host, process, transmit, and display that data solely to provide and improve the Services and as described in the Privacy Policy.

## 7. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only for purposes of the relationship, except for information that is public, independently developed, or required to be disclosed by law.

## 8. Fees

If you purchase a paid plan, fees, taxes, and billing terms are set out in your order form or subscription agreement. Unpaid amounts may result in suspension or termination of access.

## 9. Third-party services

The Services may integrate with third-party telematics providers, cloud infrastructure, and communications providers. Fuego is not responsible for third-party services it does not control. Your use of third-party services may be subject to their terms.

## 10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUEGO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FUEGO DOES NOT WARRANT THAT ALERTS WILL BE TIMELY, COMPLETE, UNINTERRUPTED, OR ERROR-FREE, OR THAT USE OF THE SERVICES WILL ENSURE REGULATORY COMPLIANCE.

## 11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUEGO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FUEGO’S TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO FUEGO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY (OR ONE HUNDRED U.S. DOLLARS IF NO FEES WERE PAID).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

## 12. Indemnification

You will defend and indemnify Fuego against claims arising from your data, your use of the Services, your failure to obtain required consents, or your violation of these Terms or applicable law, except to the extent caused by Fuego’s willful misconduct.

## 13. Suspension and termination

We may suspend or terminate access for non-payment, material breach, legal risk, or abuse. You may stop using the Services at any time. Provisions that by their nature should survive (including disclaimers, limitations, and indemnity) will survive termination.

## 14. Changes

We may modify the Services and these Terms. Material changes will be posted with an updated “Last updated” date and/or communicated as appropriate. Continued use after changes become effective constitutes acceptance where permitted by law.

## 15. Governing law

These Terms are governed by the laws of the State of Texas, USA, excluding conflict-of-law rules, unless a signed enterprise agreement specifies otherwise. Courts located in Texas will have exclusive jurisdiction, subject to applicable law.
